Terms and Conditions

Last updated: 29-10-2026

These Terms and Conditions (“Terms”) govern your use of the website campbellkiblerconcept.com (the “Site”) and the IT and digital services provided by Campbell Kibler Concep (“we”, “us”, or “our”). By using the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site or our services.

1. Our Services

We provide IT and digital services, which may include software development, website and application development, cloud services, IT support and maintenance, hosting, and digital marketing (the “Services”). The scope, deliverables, timelines, and fees for each engagement are set out in a separate proposal, quotation, statement of work, or service agreement (an “Agreement”). If an Agreement conflicts with these Terms, the Agreement prevails for that engagement.

2. Use of the Site

You agree to use the Site only for lawful purposes. You must not:

  • Attempt to gain unauthorised access to the Site, its servers, or any connected systems;
  • Introduce viruses, malware, or other harmful code;
  • Use automated tools to scrape, copy, or overload the Site;
  • Submit false, misleading, or unlawful information through any form on the Site.

3. Quotes and Engagement

Quotes are valid for [30] days from the date issued unless stated otherwise. An engagement begins once you accept a quote or sign an Agreement and, where required, pay any upfront deposit. Requests that fall outside the agreed scope are treated as change requests and may affect fees and timelines; we will confirm these with you in writing before starting the additional work.

4. Fees and Payment

  • Fees are as stated in the quote or Agreement and are exclusive of applicable taxes unless stated otherwise.
  • Invoices are payable within [15] days of the invoice date unless otherwise agreed.
  • For recurring services such as hosting, support, or maintenance, fees are billed in advance for each billing period.
  • We may pause or suspend Services if payment is overdue, after giving you reasonable notice.
  • Deposits and payments for work already completed are non-refundable unless the Agreement says otherwise.

5. Client Responsibilities

To help us deliver the Services on time, you agree to:

  • Provide accurate information, content, feedback, and approvals promptly;
  • Give us any access to systems, accounts, or third-party services that we reasonably need;
  • Make sure you have the rights to any content, images, data, or materials you supply to us;
  • Keep your own backups of your data unless backup services are included in your Agreement.

Delays caused by late feedback, missing materials, or lack of access may extend timelines and may result in additional charges.

6. Intellectual Property

Your materials: You keep ownership of all content and materials you provide to us. You grant us a licence to use them only to deliver the Services.

Deliverables: Once you have paid all fees due for an engagement in full, ownership of the custom deliverables created specifically for you transfers to you, unless the Agreement says otherwise.

Our pre-existing tools: We keep ownership of our pre-existing code, frameworks, templates, tools, and know-how. Where these form part of a deliverable, we grant you a non-exclusive, perpetual licence to use them as part of that deliverable.

Third-party components: Deliverables may include open-source software, plugins, themes, fonts, or other third-party components, which are subject to their own licence terms.

Site content: All content on the Site, including text, graphics, logos, and design, belongs to Campbell Kibler Concep or its licensors and may not be copied or reused without our written permission.

7. Portfolio

Unless you tell us otherwise in writing, we may mention your company name and show non-confidential parts of completed work in our portfolio and marketing materials.

8. Confidentiality

Each party agrees to keep the other party’s confidential information private and to use it only for the purpose of the engagement. This does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.

9. Third-Party Services

Our Services may rely on third-party providers such as hosting companies, cloud platforms, domain registrars, payment gateways, and software vendors. We are not responsible for outages, changes, price increases, or failures of these third parties, although we will make reasonable efforts to help resolve any issues that affect you.

10. Warranties and Disclaimers

We will perform the Services with reasonable skill and care. Where an Agreement includes a warranty or bug-fix period, we will correct defects in our deliverables reported within that period at no extra cost. Apart from this, the Site and Services are provided “as is” and “as available”. We do not guarantee that they will be uninterrupted, error-free, or completely secure, or that any marketing or SEO work will achieve specific rankings, traffic, or sales results.

11. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential losses, including loss of profits, revenue, data, or business opportunity. Our total liability arising from any engagement is limited to the fees you paid us for that engagement in the [12] months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnity

You agree to indemnify us against claims, losses, and costs arising from content or materials you supply, your breach of these Terms, or your misuse of the deliverables or Services.

13. Termination

Either party may end an engagement by giving [30] days’ written notice, or immediately if the other party seriously breaches these Terms or the Agreement and does not fix the breach within [14] days of being notified. On termination, you must pay for all work completed and expenses incurred up to the termination date. Ownership of deliverables transfers only for work that has been paid for in full.

14. Privacy

Our use of personal information is described in our Privacy Policy, which forms part of these Terms.

15. Force Majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, power or internet outages, government actions, pandemics, or failures of third-party providers.

16. Governing Law

These Terms are governed by the laws of [COUNTRY / STATE]. Any disputes will be subject to the exclusive jurisdiction of the courts of [CITY].

17. Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted on this page, and we will update the “Last updated” date above. Ongoing engagements remain governed by the Terms in force when the Agreement was signed, unless both parties agree otherwise.
